Περίληψη
This paper aims to assess the development of the notion of collective dominance as it emerges through the extensive case law precedence. In addition, an attempt will be made to evaluate the criteria that have emerged for assessing collective dominance and address issues such as the adequacy of these criteria for creating a legal framework for the assessment of collective dominance characterized by legal certainty.
Initially, the paper will focus on briefly explaining the basic theories of oligopolistic markets and the phenomena of tacit collusion and parallel behaviour which are closely related to collective dominance. Collective dominance occurs in highly concentrated markets with a small number of players who recognise their interdependence and the futility of aggressive competitive behaviour. As a result, market structures are conducive to tacit coordination.
The focus will then turn to the legal background surrounding the notion of collective dominance. The legal definition of dominance has evolved through time, as several cases brought before the European Court of Justice (ECJ) indicate. In Continental Can the Commission in defining a Β“dominant positionΒ” focused on the ability of entities to behave independently in making decisions that affect the market as a whole.
Finally, this paper will briefly review the proposals to amend the ECMR that the European Commission published in the Β“Green PaperΒ” and adopted in the Β“Proposal for a Council Regulation on the control of concentrations between undertakingsΒ”. The reforms concern issues of jurisdiction, substance (e.g. Β“substantial lessening of competitionΒ” test (SLC)) and procedure, and aim at simplifying and making the CommissionΒ’s review of major European cross-border mergers speedier and more efficient.
